Terms & Conditions
These terms apply to all brand strategy and related services provided by Esther Berlad, Esther Berlad Branding, Oehlerstr. 31, 38820 Halberstadt, Germany (“I”) to business clients (“you”), unless we agree otherwise in writing.
1. Services and offers
The scope of each project (for example brand strategy, brand transformation, brand audit or market research) is set out in a written offer or proposal. Offers are non-binding until you accept them in writing (email is sufficient). Anything outside the agreed scope is quoted separately.
2. Fees and payment
Fees, payment schedule and payment deadlines are as stated in the offer. In case of late payment I may charge statutory default interest and pause work until the outstanding amount is paid.
3. Your cooperation
You provide the information, materials and feedback I need in good time. Delays on your side can move agreed dates accordingly.
4. Revisions and approval
The number of revision rounds included is stated in the offer. Further changes are quoted separately. Deliverables count as approved once you confirm them in writing or use them productively without raising concrete objections.
5. Rights of use
Once the fee has been paid in full, you receive the rights of use to the final agreed deliverables for your own business purposes. I keep the rights to working drafts, unused concepts and my general methods and know-how. Third-party materials (for example stock images or fonts) are subject to their own licences, which I will point out where relevant.
6. Portfolio and references
Unless you object in writing before or during the project, I may show the finished work and name you as a client in my portfolio and marketing. I will not disclose confidential information.
7. Confidentiality
I treat non-public business information you share with me as confidential and use it only for the project. This obligation continues after the project ends.
8. Liability
I am liable without limitation for intent, gross negligence, injury to life, body or health, and where mandatory law requires. For slight negligence I am liable only for breach of essential contractual obligations and only for the foreseeable damage typical for this kind of contract. Brand strategy is advice: I cannot guarantee particular business results such as revenue, funding or growth.
9. Termination
Either of us may terminate a project for good cause in writing. In that case I am entitled to the fee for the work done up to that point.
10. Governing law and jurisdiction
German law applies, excluding the UN Convention on Contracts for the International Sale of Goods. If you are a business, the place of jurisdiction is Halberstadt, Germany, to the extent permitted by law.
11. Final provisions
Changes to these terms must be made in writing. If a provision is or becomes invalid, the remaining provisions stay in effect.
